ترجمة عقد من عربي بإنجليزي.

1-       التعاريف والتفسير: 1.1     في تطبيق أحكام هذه الاتفاقية يقصد بالكلمات والعبارات الاتية المعاني المبينة قرين كل منها. يقصد بممثل (.....) الشخص (الأشخاص) المعين في الجدول 6 أو أي شخص (أشخاص) آخرين معينين من وقت لآخر ومسموح لهم التصرف باسم ونيابة عن (.....) في إدارة الاتفاقية ويبلغ كتابياً عنه إدارة شركة (.....).   يقصد بالخدمات الإضافية الخدمات التي يتم تأديتها من (.....) غير المدرجة في الجدول 3.     يقصد بالعمل الإضافي أي عمل غير مذكور في العقد على النحو المتفق عليه (.....)، ويتم إصدار أو طلبه رسمياً من (.....).  تُنفذ جميع الأعمال الإضافية فقط بعد الحصول على الموافقة الرسمية.   يقصد بالساعات التشغيلية الـ 24 ساعة لأي يوم بما في ذلك يوم الجمعة أو أي عطلة عامة رسمية في المملكة العربية السعودية. يقصد بالسلطة المختصة السلطة المنشأة بموجب قانون المملكة العربية السعودية والقوانين والنظم واللوائح المعمول بها في المملكة العربية السعودية والتي تكون موافقتها وتراخيصها ضرورية لإدارة تشغيل الأغراض المتوخاة.   يقصد بتاريخ البدء التاريخ الذي بدأت فيه شركة (.....) لإدارة المرافق الخدمة وفقاً للاتفاقية أو لأي اخطار سابق بصدور قرار له علاقة بالمشروع.   يقصد بتاريخ الانتهاء التاريخ المنصوص عليه في الاتفاقية (وفق ما يطرأ عليها من تعديلات) كتاريخ انتهاء فترة التعاقد (.....).     يقصد بشهادة الامتثال الشهادة المقدمة من شركة (.....) لإدارة المرافق إلى (.....) وفقاً للبند 3,8 الذي يؤكد أن شركة (.....) لإدارة المرافق قد أكملت خدماتها وكل التزاماتها بموجب الاتفاقية (على وجه الخصوص توصيات الجهات المصنعة المتعلقة بصيانة المعدات/ النظم أنها امتثلت بالكامل لتلك التوصيات) حسب الحاجة.   يقصد باليوم أي يوم بما في ذلك يوم الجمعة ويشمل أي أيام تكون عطلات عامة في المملكة العربية السعودية.     يقصد بفترة المسئولية عن العيوب فترة الاثني عشر (12) شهراً والتي تبدأ من تاريخ صدور شهادة الاستلام (أو جزء منها) للمعدات/ النظم الجهة المصنعة والتي تثبت التاريخ الذي قبلت فيه (.....) المعدات/الأنظمة.   يقصد بالمعدات/ النظم/الآلات: كما هو مبين على النحو المحدد في الجدول 3 والتي تكون مطلوبة للخدما     يقصد بالجهة المصنعة للمعدات/ النظم: الجهة المصنعة الأصلية أو وكيلها المصرح له على النحو الصحيح الذي يزود أو يثبت أو كلاهما المعدات/ النظم والذي يكون معترفاً به كمورد وحيد لأي قطع غيار أو برامج أو تعديلات أصلية داخل المملكة العربية السعودية تتعلق بتلك المعدات/ النظم. يقصد بالرسوم إجمالي كل الأجور والمبالغ والنفقات والتكاليف والمصروفات المنصوص عليها في الجدول 4 حسبما يطرأ عليه من تعديلات والتي تكون مستحقة الدفع لشركة (.....) لإدارة المرافق كتعويض كامل ونهائي عن أداء الخدمات.     يقصد بالميزانية إجمالي الرسوم المذكورة والتي تشمل القوى العاملة وجميع مصروفات التشغيل.   تشمل الملكية الفكرية حقوق التصنيع وبراءات الاختراع وتطبيقات براءة الاختراع وأي حقوق متعلقة بالخبرة الفنية للاختراعات والأسرار التجارية والأسماء التجارية وأسماء الأعمال التجارية والشعارات والأجهزة والعلامات التجارية وعلامات الخدمات (سواء كانت مسجلة أو غير مسجلة) وأي تطبيقات منها وكل الحقوق التي تكون في صورة معلومات سرية.   يقصد بالقانون أي تشريع حكومي وأنظمة أساسية وقوانين ومراسيم وما شابه ذلك والنظم واللوائح لأي سلطة مؤسسة بطريقة قانونية في المملكة العربية السعودية ومعمول بها في المملكة العربية السعودية.         يقصد بالوكيل الإداري أي شخص أو مؤسسة إن وجدت والذي يكون موكلاً من (.....) لتمثيل (.....) وتقديم الخدمات الإدارية والمشورة والمساعدة في تنظيم وإدارة هذه الاتفاقية.   يقصد بالمبني أي مباني (بما في ذلك الموقع) الذي يتم فيه إداء الخدمات أو الذي سيتم فيه أداء الخدمات.   يقصد بخطة المشروع البرنامج المعد لإدارة المنشآت المعتمدة من (.....) وفقاً لأحكام البند 4 حسبما يطرأ عليه من تعديلات من الاتفاقية المبرمة بين (.....) وشركة (.....) لإدارة المرافق من وقت لآخر.     يقصد بالمشروع: المشروع كما هو موضح في موجز المشروع المنصوص علية في الجدول 1.   يقصد بموجز المشروع خلفية وتفاصيل وموقع المشروع المنصوص علية في الجدول 1و المتصلة بشركة (.....) لإدارة المرافق بغرض فهم وتقديم الخدمات بموجب هذه الاتفاقية>   يقصد بالخدمات المخفضة تلك الخدمات كما يتم تأديتها من (.....) وفقاً للبند 15.   يقصد بالخدمات كل الواجبات والالتزامات والخدمات (بما في ذلك توريد العمالة أو المواد أو الأدوات أو قطع الغيار لفترة عمر التشغيل الخاصة بالمعدات/ النظم) وأي موارد ضرورية أخرى لإدارة وضمان الالتزام بتوصيات الجهات المصنعة وذلك لصيانة وتشغيل المعدات/ النظم، غير أنه يستثنى من ذلك الاستبدال الكامل للنظم الذي يجب أن تؤديه شركة (.....) لإدارة المرافق وذلك فيما يتعلق بالمشروع لصالح (.....) المنصوص عليها في الجدول 3.       تغطي شركة (.....) لإدارة المرافق الخدمة المقدمة وشركائها الاستراتيجيين المشاركين في المشروع.       يقصد بممثل شركة (.....) لإدارة الخدمات الشخص (الأشخاص) المعينين كما هو موضح في الجدول 6 أو أي شخص (أشخاص) آخرين معينين من وقت لآخر ومسموح لهم التصرف باسم ونيابة عن شركة (.....) لإدارة المرافق في إدارة الاتفاقية ويبلغ كتابياً عنهم (.....).     يقصد بالموقع المرافق (الأماكن) المخصصة للوصول لها والتي يتعين إتاحتها لشركة (.....) لإدارة المرافق من (.....) بغرض أداء الخدمات فيها. يقصد بمستوى الرعاية مستوى المهارة المهنية والرعاية والاجتهاد الذي تمارسه والمتوقع من المؤسسات المقدمة للخدمة المهنية المعترف بها دولياً في الصناعة أو المهنة أو التخصص أو التجارة في شركة (.....) لإدارة المرافق عند تأدية خدمات مشابهه لخدمات مشروع مماثل في الحجم والنطاق والصعوبة والغرض من المشروع وذلك بما يتفق مع العروض والتعهدات المقدمة من شركة (.....) لإدارة المرافق إلى (.....).       يقصد بالمقاول من الباطن الشركة أو الفرد المعين (بعد الحصول على موافقة مكتوبة للقيام بذلك من (.....) أو المدير الإداري) ومن شركة (.....) لإدارة المرافق لتنفيذ أجزاء معينة من الخدمات.     يقصد بالغير أي طرف مشارك أو يؤدي أي أنشطة تسهيلات ممنوحة غير (.....) وشركة (.....) لإدارة المرافق والمقاولون من الباطن.   يقصد بشهادة الاستلام الشهادة الصادرة من (.....) إلى الجهة المصنعة للأدوات/ النظم والتي تثبت تاريخ قبول (.....) للمعدات/ النظم (جزئياً أو كلياً)   يقصد بالأسبوع سبع (7) أيام من الأحد إلى السبت بدون انقطاع.   يقصد بـــــــــــــ  المملكة العربية السعودية "المملكة" المملكة العربية السعودية"     1.2    في تطبيق هذه الاتفاقية، ما لم يقتض السياق خلاف ذلك:       أ -    تكون للمصطلحات المعرفة في هذه الاتفاقية نفس المعاني المخصصة لها إذا استخدمت في هذه الاتفاقية.       ب‌-      تكون عناوين البنود الواردة في هذه الاتفاقية لملائمة ظروف الأطراف فقط ولا تؤثر على تفسيرها.   ج -   الإشارة إلى بند أو جدول تكون لبند أو جدول في هذه الاتفاقية.   د -   حسبما يقتضي السياق خلاف ذلك حيث يتضمن المفرد معنى الجمع والعكس صحيح والكلمات التي ترد في صيغة المذكر تتضمن   معنى المؤنث. هـ -  تتضمن الإشارات إلى القوانين أو اللوائح أو المتطلبات الإشارات إلى أي تعديل أو تمديد أو إعادة سن لها من وقت لآخر.       و‌-        تفس الإشارات إلى هذا الاتفاقية أو أي اتفاقية أو وثيقة أو عقد أخر على أنها إشارة إلى هذه الاتفاقية أو الوثيقة بصيغتها المعدلة أو المكملة والتي تكون سارية من وقت لآخر وتتضمن إشارة إلى أي وثيقة تعدلها أو تكملها أو تدخل فيها، بحسب أو وفقا لشروطها.     ز‌-        تعتمد جميع الفترات الزمنية ويتم حسابها وفقاُ للتقويم الميلادي.

1.        DEFINITIONS AND INTERPRETATION 1.1              In this Agreement the following expressions shall have the meanings respectively assigned to them hereunder: (.....) Representative means the person(s) nominated in Schedule 6 or such other person(s) appointed from time to time authorized to act for and behalf of (.....) in the administration of the Agreement and notified in writing to EFM;   Additional Services means such additional services as are directed by (.....) which is not included in Schedule 3;   Additional Work means any work which is not mentioned in the contract as agreed with EFM, and issued or requested officially by (.....). All the additional work will be performed only after the official approval.   Operational Hours means 24 hours any day including Friday or a declared Public Holiday in the KSA;   Competent Authority means an authority established under the Law of the Kingdom of Saudi Arabia and the laws, rules and regulations of the Kingdom of Saudi Arabia whose approval and permission is required for the operation management for the purposes intended;   Commencement Date means the date upon which the EFM commenced the Services under either the Agreement or any prior notification of award in relation to the Project;   Completion Date means the date stipulated in the Agreement (as may be amended) as the date by which the EFM's contracted period is completed;   Compliance Certificate means the certificate to be submitted by the EFM to (.....) pursuant to Clause 3.8 confirming that the EFM has completed the Services and all its obligations under this agreement (and in particular that the manufacturers' recommendations relating to the maintenance of the equipment/systems have been complied with in full) where required;   Day means any day including Fridays and including any days that shall be a public holiday in Kingdom of Saudi Arabia;   Defects Liability Period means the twelve (12) Months period commencing on the date of issue of a Taking Over certificate (or part thereof) to the Equipment/Systems Manufacturer evidencing the date upon which (.....) accepted the Equipment/Systems;   Equipment/Systems means the equipment/systems/machinery and the like identified within Schedule 3 and for which the Services are required;     Equipment/Systems Manufacturer means the original manufacturer or their duly authorized agent who supplied and/or installed the Equipment/Systems and who is recognized as the sole supplier of any genuine parts, software or modifications in the KSA relating to that specific Equipment/System;   Fee means the aggregate of all rates, sums, costs, charges and expenses as set out in Schedule 4, as may be amended, payable to the EFM as full and final compensation for the performance of the Services;   Budget means the total fees mentioned that include manpower and all the operational expenses.   Intellectual Property includes copyright, design rights, patents, patent applications and any rights to inventions know-how, trade secrets, trade and business names, logos and devices, trade and service marks (whether registered or unregistered) and any applications thereof and all rights in confidential information;   Law means any government legislation, statutes, ordnances, decrees and the like and the regulations and by laws of any legally constituted authority of the Kingdom of Saudi Arabia, applicable in the Kingdom of Saudi Arabia;   Managing Agent means that person or organization, if any, who has been appointed by (.....) to represent (.....) and provide management services, advice and assistance in the management and administration of this agreement.   Premises means any premises (including the Site) where the Services are to be or will be carried out;   Project Plan means the programme for the management of facilities approved by (.....) in accordance with the provisions of Clause 4 as the same may be amended by agreement between (.....) and the EFM from time to time;   Project means the project as described in the Project Brief set out in Schedule 1;   Project Brief means the background, details and location of the Project as set out in Schedule 1 and Communicated to the EFM for the purpose of understanding and providing the Services under this Agreement;   Reduced Services means those reduced services as are directed by (.....) pursuant to Clause 15;   Services means all of the duties, obligations and services (including the supply of labor, materials, tools, or spare parts for the designed working life of the Equipment/Systems) and any other necessary resources to manage and ensure compliance with the manufacturers' recommendations for the maintenance and operation of the Equipment/Systems but excludes replacement of complete systems which are to be performed by the EFM in relation to the Project for the benefit of (.....) all as set out in Schedule 3;   EFM will blanket the service provide and its strategic partners involved in the project plan.     EFM's Representative means the person(s) nominated in Schedule 6 or such other person(s) appointed from time to time and authorized to act for and on behalf of EFM in the administration of the Agreement and notified in writing to (.....);   Site means the facilities (the places) set aside for access to which shall be given to the EFM by (.....) for the purposes of performing the Services;   Standard of Care means the level of professional skill, care and diligence exercised by, and expected from, internationally recognized professional Service Providers firms in the EFM's industry, profession, discipline or trade when carrying out services similar to the services for a project comparable in size, scope, complexity and purpose to the project and consistent with the representations and undertakings provided by the EFM to (.....);   Sub-Contractor shall mean that company, or individual appointed (only after written approval to do so by (.....) or the Managing Agent) by the EFM to carry out certain parts of the Services;   Third party means any party involved in carrying out any activities the awarded facilities other than (.....), EFM and EFM’s subcontractors.   Taking Over Certificate means the certificate issued by (.....) to the Equipment/Systems Manufacturer evidencing the date upon which (.....) accepted the Equipment/Systems (in whole or in part);   Week means seven (7) days Sunday to Saturday inclusive;   KSA means Kingdom of Saudi Arabi. 1.2                In this Agreement, unless the context otherwise requires:     a.        Terms defined in the Agreement shall have the same meanings where used within this Agreement. b.       The clause headings in this Agreement are for the convenience of the Parties only and do not affect its interpretation. c.        References to a clause or a schedule are to a Clause or a Schedule of this Agreement. d.       The context otherwise requires the singular shall include the plural and vice-versa and any words importing the male gender shall include the female. e.        References to laws, regulations or requirements include references to any modification, extension or re-enactment thereof from time to time. f.         Reference to this Agreement or any other agreement or documents or contract shall be construed as a reference to such agreement or document as amended, modified or supplemented and in effect from time to time and shall include a reference to any document which amends, modifies or supplements it, or is entered into, made or given pursuant to or in accordance with its terms. g.        All periods of time shall be based on, and computed according to the Gregorian calendar.
